ABASS Motion provides precision drive and motion control products and solutions for robotics, automation, intelligent equipment and other industrial applications.

The Website provides general information about ABASS Motion, our capabilities, products, applications and services. We make reasonable efforts to keep this information accurate and current. Product designs, materials, dimensions, performance data, specifications, certifications, photographs and other content may nevertheless be updated without notice.

Website content is not a binding quotation, contractual commitment, technical guarantee or warranty unless it is expressly incorporated into a written agreement accepted by ABASS Motion. If Website information conflicts with an official quotation, specification sheet, purchase order, technical agreement or contract, the applicable official document will prevail.

3 Product Specifications and Application Suitability

Specifications on the Website may represent nominal, typical, preliminary or laboratory tested values. Actual performance may depend on load, duty cycle, speed, acceleration, installation, alignment, temperature, lubrication, maintenance, control configuration, shock, vibration, integration and customization.

You are responsible for evaluating whether a product is suitable for your intended application. Unless ABASS Motion confirms suitability in a written technical agreement, preliminary information does not constitute approval for a safety critical, medical, aerospace, automotive, life support or other high risk application. Products must be installed, tested, operated and maintained by qualified personnel in accordance with applicable documentation, safety standards and laws.

4 Requests for Information and Quotations

You may contact us for product information, technical documentation, application support, samples, prototypes, customization, pricing or cooperation information. Submitting an inquiry does not create a contract or require ABASS Motion to accept an order.

A quotation remains subject to its validity period, product availability, technical confirmation, production capacity, payment terms, delivery terms and other stated conditions. A transaction becomes binding only through an authorized quotation, purchase order acceptance, sales contract or another written agreement accepted by both parties.

5 Orders Prices and Delivery

• Website content does not constitute an offer to sell
• Informal prices are nonbinding
• Taxes, customs duties, shipping, insurance and other charges may be additional
• Production and delivery dates are estimates unless expressly guaranteed in writing
• Customization may require separate engineering evaluation and charges
• Minimum order quantities may apply
• Incoterms, payment, inspection and warranty terms will be stated in the applicable quotation or contract

A separate written agreement governing an order or transaction will prevail over these Terms for that transaction.

6 Samples Prototypes and Custom Products

Samples and prototypes may be supplied for testing and evaluation only. Unless agreed otherwise in writing, a prototype is not a final production product and may not have completed production validation, certification or reliability testing.

For customized products, you are responsible for the accuracy and completeness of the specifications, drawings, interfaces and operating requirements you provide. Changes to confirmed requirements may affect price, tooling, performance, schedules and delivery. Ownership and permitted use of custom drawings, tooling, software, designs and development results will be governed by the applicable quotation or agreement.

7 Permitted Use of the Website

You may use the Website only for lawful business, informational and evaluation purposes. You must not:

• Interfere with Website operation, security or availability
• Introduce malware, harmful code or automated attack traffic

By submitting drawings, specifications, application descriptions, photographs, files or other materials, you confirm that you are authorized to provide them, that their permitted use will not infringe third party rights, that they contain no unlawful or malicious content, and that they are accurate to the best of your knowledge.

We may use submitted materials to evaluate an inquiry, prepare a quotation, assess technical feasibility, develop a solution and perform an agreed contract. Confidentiality obligations are governed by any applicable nondisclosure agreement or written contract.

10 Third Party Websites and Services

The Website may link to third party websites, social media platforms, exhibition websites, distributors, video platforms or other services. These links are provided for convenience. ABASS Motion does not control and is not responsible for third party content, availability, security, privacy practices or terms. A link does not necessarily imply endorsement or affiliation.

11 Export Controls and Sanctions

Products, technical information and services may be subject to export control, customs, sanctions or import laws. 12 Disclaimer of Warranties

To the maximum extent permitted by law, the Website and its content are provided on an as is and as available basis. ABASS Motion does not warrant uninterrupted or error free operation, complete or universally suitable content, continued product availability, freedom from harmful components, or that preliminary technical information will meet a specific application. This does not exclude an express written product warranty in a binding sales agreement.

13 Limitation of Liability

To the maximum extent permitted by law, ABASS Motion will not be liable for indirect, incidental, special, punitive or consequential loss arising from use of or inability to use the Website, reliance on general Website information, loss of data, profits, revenue, opportunity or business, third party services, unauthorized access outside our reasonable control, or use of a product without appropriate evaluation and written confirmation.

14 Indemnification

To the extent permitted by law, you agree to indemnify ABASS Motion against claims, losses, liabilities and reasonable costs arising from unlawful Website use, violation of these Terms, materials you submit, infringement of third party rights, or misuse, unauthorized modification or improper integration of a product.

16 Website Availability and Changes

We may modify, suspend or discontinue any part of the Website without prior notice. We may update these Terms by publishing a revised version. Continued use after an update constitutes acceptance of the revised Terms.

17 Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. The parties should first attempt to resolve a dispute through good faith consultation. An unresolved dispute shall be submitted to a court of competent jurisdiction in Dongguan, Guangdong, China, unless mandatory law requires otherwise. Nonwaivable consumer rights remain unaffected.

18 Severability

If a provision is invalid or unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.

19 No Waiver

A failure or delay by ABASS Motion in exercising a right does not waive that right.
